Review of Incorporation Documents

 

Objectives for reviewing the incorporation documents are:

  1. To know if the business has the complete documents
  2. To know that the existing documents are accurate and are updated
  3. To ensure that the existing documents are presented in visible area with their intended purpose
  4. To know the control system and the authorization to use the documents

 

Our service fee for review the incorporated documents is Baht 30,000

 

The processing time

We take time to review the documents for 1 working day and the process will be finished within 3 working days.

 

For review the incorporation documents of each department, it will be done by comparing the information in the documents which it can be separated as follow:

 

1.The documents of Department of Business Development

  • To review the basic information in the company’s affidavit such as company’s name, address, registered capital etc. to see whether it has any changes and if updated within 6 months or not
  • To review the current business that the company does matches with the registered business objectives that was registered with DBD
  • To review the company’s address of head office and branch office matches with the information registered with DBD
  • To review that the company recently has registered for the amendment of memorandum of association
  • To review the registered capital in the shareholders’ list document matches with the company’s affidavit

 

2. The documents of the Revenue Department

  • To review the information in VAT certificate (Phor.Por.20) are current and updated such as company name, address, the date that the company is VAT registrant.
  • To check if the company has presented the VAT certificate in a visible area at their office.
  • To review the revised application for VAT (Phor.Por.09) in case the company has changed some information such as moving the company’s address, increase or reduce of branch office etc.

 

3. The documents of the Social Security Office

  • To review the information of the Certificate of Social Security Fund if it is accurate and updated such as company name, registration date and registration number belong with the company, and if it is also presented in a visible area of the company.
  • To review the information of the Certificate of Workmen’s Compensation Fund such as company name, registration date and registration number belong with the company, and if it is also presented in a visible area of the company.

 

4. Other documents of the company, for example:

  • In case of the factory business, it will be checked if they obtained the Factory Operation Permit issued by Department of Industrial Works and it is also presented in the visible area of the operated factory.
  • In case the company hired foreigners, need to check if they have a work permit that mentioned the correct company name and start of working date in the company.
