Q1 – My director would like to resign from the position due to personal issues. Thus, what should the company do to replace the new director?Panwa: In case your director would like to resign from the position, please note that the company must advertise in the local newspaper and send invitation letters to all shareholders to appoint a new director instead of the old director. Moreover, if the old director submits a resignation letter to the company, the company must submit the forms and register to DBD within 14 days after the company obtain the resignation letter or the effective date on such resignation letter. |
Q2 – I am a shareholder of the company. I would like to inquire from you since at the moment, a director of my company had an accident that has caused him to be in a comatose state. He has to stay in hospital indefinitely. I would like to know what I can do to keep the company running, as the company has only one director.Panwa: Since the director of the company is in a comatose state which he cannot recognize and conduct any business of the company, if you would like to run the business, you can appoint a new director by arranging the shareholders’ meeting to obtain the resolutions for 2 matters as follow:
After obtaining the resolution from the meeting, your company can prepare the forms and submit to the Department of Business Development (DBD). Moreover, for the minute of meeting and the application forms for change of director, the new director can put his/her signature directly. |
