For signing the financial statements of my company, can I appoint my elder brother who is the shareholder in my company to sign it on my behalf as I am unable to standby to sign documents next month due to I have a business in foreign country. Please advise.
Panwa: Please note that normally for signing the financial statements and related documents and most documents of the company, only the director can sign which the shareholder cannot sign on behalf. In addition, if most of the time you are inconvenient to sign the company documents, there is an alternative way to let your brother sign, which is to add him to be another director with you by arranging shareholders’ meeting and appoint the new director then register for change of director and change of condition of authorization at DBD which we can assist you for this matter.
