I would like you to assist to close the company at the government as soon as possible. My company has 2 foreign directors (me and my friend), the authorization is both of us need to sign. Due to we are unable to visit Thailand, is it possible for us to appoint 1 Thai friend to close the company instead? Or do I need to have 2 persons same as the number of the company’s directors?
Panwa: Please note that if in case you and your friend as a company’s director cannot come to Thailand to proceed for closing the company, it is possible to register for closing and liquidation the company which it is enough to appoint only 1 Thai friend to be the liquidator due to the government requires at least 1 person for liquidator and your company have to prepare the minutes of meeting for appoint the liquidator too. However, it does not require to have 2 Thai friends to be liquidators follow the number of directors, but if in case you would like to have 2 Thai friends to be the liquidators, it is also can, depend on your company’s decision.
