My company has 2 directors, me and my Thai Friend. I already registered for the first step of closing company at DBD which my Thai friend was appointed to sign the documents on such step. I would like to know for the step of liquidation, can I sign the documents by myself directly instead of Thai director?
Panwa: Please note that you cannot sign the documents for the step of liquidation (second step) due to in the beginning, on the step of shareholders’ meeting for closing your company, the Thai director (your friend) was the one appointed and approved to sign the documents for the full process, so it cannot be changed later. In case you would like to sign the documents for closing, you must be appointed on the shareholders’ meeting before starting the step of closing the company.
