Things must know for change of company’s article of association
- For change of article of association, the company must arrange the shareholders’ meeting to receive the special resolution for change of article of association of the company and after receive the special resolution, must register with DBD within 14 days.
- In the shareholders’ meeting, the voting right to amend the article of association of shareholders must not be less than three-fourths of the total
Questions and Answers
Q1: My company registered for article of association and it has some items mentioned that when the company will have the meeting, it needs to advertise in local newspaper and sending invitation letters to all shareholders. I would like to know that is it possible if I need to delete such item from the article of association from my company?Panwa: Currently, the correction Civil and Commercial Code Amendment Act (No. 23) B.E. 2022, Section 1175 specifies that the company does not need to publish at local newspaper thus, you can cancel this part, but for sending invitation letters to all of shareholders, the law still enforces on this item which you need to send by Thai post only and cannot send by online except delivery on hand and let the shareholder sign as acknowledgment directly and the company also cannot amend this part. |
Q2: If I would like to change the accounting period (from ending September 30 to be ending December 31) at The Revenue Department (RD), but my company has already registered for Article of association, is it possible and what to do for this matter?Panwa: Yes, it is possible to change the accounting period. Moreover, the 1st step, you need to register for change of article of association (by amend the accounting period) at DBD. 2nd step, prepare the documents for change of accounting period and submit at the area RD which for this step may take around 1 month for the approval from tax officer. Moreover, after the tax officer approve for such change, they will issue the letter and send to the company head office by post, which after the company receive the letter, then the company can proceed with the last step by submitting the application for change of accounting period through DBD’s E-Permit (online). |
